In addition to being governed by the laws of the state or jurisdiction in which it is incorporated, a corporation is also subject to a set of internal rules set forth by their board of directors. Corporate Bylaws are a set of rules agreed upon by the board of directors and govern the internal management of the organization. Bylaws help to provide the basic rules for the conduct of a corporation's business and affairs. They also provide key information about the corporation such as the purpose of the company, the number of directors, the officers and information about the corporation's stock.

Customized Corporate Bylaws

Bylaws are an internal document. They provide the basic rules for the corporation's business and affairs, but are still subject to statutory law and the corporation's articles/certificate of incorporation. CorpAmerica will ask you to provide some simple information about your corporation and will customize the bylaws using that information. It is up to you to review the bylaws before signing them.

  • The state in which it was formed
  • The purpose (business activity) of your company
  • The number of initial directors
  • The names and addresses of the directors
  • The officers of the corporation (Chairman of the Board, President, Secretary, etc.)
  • Number of authorized and issued shares of stock and par value
  • Your shipping address (mail or e-mail) for delivery of the paperwork and fee breakdown
  • Your payment authorization for the $100.00 document preparation fee.

1.  Do all corporations need to have bylaws?

Most states require by law that a corporation maintains a set of rules to govern the company internally. These rules are known as bylaws, and while required by the state, they are not filed with any office other than the corporation's office.

2. After I purchase my bylaws from CorpAmerica, can I make changes to them?

You are free to make any changes to the bylaws that are within the bounds of the law. We will send you the bylaws as a Microsoft Word document.
