Written Consent Documents & Resolutions

Part of adhering to corporate or LLC formalities is keeping track of important decisions made by the company. When corporations and LLCs make decisions at company meetings, they often record the final decision in the form of a written resolution that is included with the minutes of the meeting. When a unanimous decision is reached by the entire Board of Directors (or by all the members of an LLC) between meetings, a consent document is signed by all the directors (or members) in order to record the final decision. A written consent shows that all the directors (or members) have agreed to have the company take certain actions. CorpAmerica can customize 'written consent' templates that can outline the decisions that your corporation or LLC has unanimously agreed upon between meetings. For example, many banks require written consent of the decision-makers of a company in order to allow a company to open a bank account. CorpAmerica has a document that can satisfy this requirement.

A written consent document is an internal company document. We can customize the written consent documents based on information that you give us, but additional action related to the consent would have to be taken by you. CorpAmerica will ask you to provide some simple information about your corporation or LLC and will prepare the written consent document using that information. It is up to you to review the written consent before signing it.

Types of Written Consent Documents

For Corporations:

  • Appoint Directors - Used to appoint additional directors to a corporation.
  • Appoint Officers - Used to name officers in a corporation. (Examples are President, Vice-President, Secretary, Treasurer, etc.)
  • Bank Account - Used to authorize a person or persons from a company to open a corporate bank account.
  • Issue Stock - Used to issue additional stock. (For example, if a company has 1,000 shares of authorized stock, and has only issued 100 shares, you can have a Written Consent which can issue the additional 900 shares.)

For Limited Liability Companies (LLCs)

  • Appoint Managers - Used to appoint one or more managers to run the day to day operations of an LLC.
  • Appoint Members - Used to appoint members of an LLC. Note that typically members are the owners of an LLC.
  • Bank Account - Used to authorize a person or persons from a company to open a bank account.
  • Remove and Replace Managers - Used to remove one or more managers and replace them with one or more new managers. (For example, changing ownership in the LLC)

Written Consent FAQs

1. Do all companies need to have written consent documents?

When big decisions relating to the company are made, a written consent is strongly encouraged.

2. After I receive my written consent are there any additional steps?

Yes. Each type of written Consent document will require an action on behalf of the company. For example, if you are authorizing a director, officer or member to be able to open a company bank account, the written Consent simply states that all the directors of the corporation, or all the members of the LLC, have agreed to authorize a certain individual to open the account. You would normally bring that signed document, along with certain other company documents, to the bank and adhere to any other bank requirements.

3. After I purchase my written consent from CorpAmerica.com, can I make changes to it?

Yes. You are free to make any changes to the written consent within the bounds of the law. We will send you the written consent as a Microsoft Word document.
