  • PC owners are not personally liable for the negligence or malpractice of other owners.
  • State laws dictate the eligibility for forming a PC or PLLC. The formation documents often require approval from the state before filing the appropriate Articles of Incorporation or Certificate of Formation (sometimes called Articles of Organization).
  • PCs or PLLCs must obtain an Employer Identification Number (EIN) for tax reporting purposes with the IRS.

Naming your PC or PLLC

The proposed name should accurately describe the profession practiced and the services provided. Most states require that the corporate name be followed by the ending Professional Corporation or PC, Professional Association or PA, or PLLC for Professional Limited Liability Company.  If the proposed name designates a specialized area of professional practice, most states will require evidence substantiating the authority to use the specialty designation.
