Why You Need a Registered Agent

As state-recognized business entities, corporations and LLCs are required by most jurisdictions to designate and maintain a Corporate Registered Agent. This delegate will receive and forward legal documents on behalf of your company (this service is referred to as Statutory Representation on your annual invoice from CorpAmerica).

What We Do as Your Registered Agent

  • Maintain a location at a legal address (not a PO Box) within that state (this is a requirement for all Registered Agents). CorpAmerica maintains a nationwide network of offices and serves as a full time Registered Agent in all 50 states plus the District of Columbia.
  • Provide availability at all times during normal business hours to receive documents and tax notices from the state and service of process, or the act of delivering a writ or summons upon someone, from any legal proceedings (this is a requirement for all Registered Agents).
  • Forward to you, via traceable overnight courier/delivery:

 - All service of process the same day it arrives, summarizing the vital information, including who is bringing suit, in what court, when process was served, the nature of the case and how much time you have to respond.

 - Official state documents such as franchise tax notices and annual reports.

The Impact of Not Having a Registered Agent

Failure to maintain a Registered Agent can result in loss of corporate or LLC status. Equally important: if a responsible party is not available to receive service of process at all times or misplaces the litigation, then your company could be unaware of a legal claim and a judgment may be entered against you. The end result: a 'default' is levied against your company, and you will be required to pay the assigned penalty without any recourse.
