Shelf companies are entities that have been formed and filed with the Delaware Secretary of State and are up-to-date with franchise tax requirements; however, business has never been conducted. Our Shelf Corporations

Our shelf corporations were formed between 1999 and 2005 and range in price from $1500.00 to $4000.00, plus the price of one of our incorporation packages.  If a change to the existing company name is required, additional fees will be required to complete the amendment filing. CorpAmerica currently offers shelf companies only in the state of Delaware, and only corporations are available. All corporations were formed with 1500 shares at no par value in order to qualify for the minimum annual franchise tax.

What You Will Receive

Materials will vary depending upon the incorporating package selected, but Delaware shelf corporations always include a certified copy of the company's formation document on file with the state and Registered Agent service in Delaware for a specified period of time at no cost. An incorporator's resignation statement (called the Organization Action in Writing of Incorporator) naming the initial directors of the corporation is enclosed. Some of our packages also include publications, assistance in obtaining an EIN, a corporate kit containing a company seal, and stock certificates.

What We Need to Process an Order

  • Contact details including: telephone number, e-mail, legal address, and shipping address.
  • Names and addresses of initial directors (CorpAmerica does not provide nominee director or officer services).
  • Payment authorization for the total amount.
